Terms of Service

1. Agreement to Terms

By accessing or using zunft.ai's services, including the Intelligence Layer, PRO-Protocol, and related APIs (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Services.

2. Use of Services

2.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter binding contracts. If using Services for an organization, you represent having authority to bind that organization.

2.2 Account Registration

• Provide accurate, current, complete information
• Maintain security of account credentials
• Notify us immediately of unauthorized access
• Responsibility for all account activities

2.3 Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms.

You SHALL NOT:

• Use Services for illegal, harmful, or malicious purposes
• Attempt to manipulate, deceive, or cause harm through principled reasoning
• Reverse engineer, decompile, or disassemble the Services
• Exceed rate limits or circumvent access restrictions
• Use Services to develop competing products
• Resell Services without written authorization
• Upload viruses or malicious code
• Violate any applicable laws or regulations

3. Intellectual Property

3.1 zunft.ai's Intellectual Property

zunft.ai retains all rights, title, and interest in:

• The PRO-Protocol and Intelligence Layer technology
• Reasoning engines (Teleological, Epistemological, Ontological)
• Pre-built playbooks and configurations
• Documentation, APIs, and SDKs
• Trademarks, logos, and brand materials

3.2 Customer Data

You retain all rights to:

• Your input data and contexts
• Custom AI playbooks you create
• Your reasoning request logs
• Results generated for your use

4. Privacy and Data Protection

4.1 Data Processing

We process data according to our Privacy Policy. By using the Services, you consent to such processing.

4.2 Data Security

We implement industry-standard security measures but cannot guarantee absolute security. You acknowledge the inherent risks of internet data transmission.

5. Fees and Payment

5.1 Subscription Fees

• Fees are based on your selected plan
• Billed monthly or annually in advance
• Non-refundable except as required by law

5.2 Payment Terms

• Payment due within 30 days of invoice
• Late payments subject to 1.5% monthly interest
• We may suspend Services for overdue accounts

6. Warranties and Disclaimers

6.1 Limited Warranty

zunft.ai warrants that Services will perform substantially as documented. This is your sole warranty remedy.

6.2 Disclaimers

SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OR RELIABILITY OF RESULTS

7. Limitation of Liability

7.1 Consequential Damages

NEITHER PARTY LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF POSSIBILITY.

7.2 Liability Cap

TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

• Fees paid in the 12 months before the claim
• €10,000

8. Term and Termination

8.1 Term

These Terms begin upon first use and continue until terminated.

8.2 Termination

Either party may terminate with 30 days written notice. Immediate termination allowed for material breach not cured within 30 days.

8.3 Effect of Termination

• Access to Services ceases immediately
• Outstanding fees become due
• You may export your data within 30 days
• Confidentiality obligations survive

9. General Provisions

9.1 Governing Law

These Terms are governed by German law, excluding conflict of law provisions.

9.2 Jurisdiction

Exclusive jurisdiction in courts of Munich, Germany, except for injunctive relief.

9.3 Entire Agreement

These Terms constitute the entire agreement, superseding prior agreements.

9.4 Assignment

You cannot assign rights without written consent. zunft.ai may assign freely.
